VPMHR Subscription Terms of Service

These Subscription Terms of Service (“Subscription Terms”) govern your use of the VPMHR application and related services provided by View Beyond LLC. By creating an account and subscribing to VPMHR, you accept these terms in full.
These Subscription Terms are in addition to the Website Terms and Conditions, which govern your use of the vpmhr.com website.
1. Definitions
“Service” means the VPMHR web application and all related features, tools, and functionality.
“Subscription” means your paid access to the Service under a monthly or annual billing plan.
“User Data” means all data, content, and information you enter into the Service, including but not limited to projects, resources, issues, risks, decisions, strategic themes, and organizational information.
“Account” means your registered user account providing access to the Service.
2. Account Registration
2.1 You must provide accurate and complete information when creating an Account.
2.2 Your username serves as your identifier across both your Subscription and your Account and cannot be changed.
2.3 You are responsible for maintaining the confidentiality of your login credentials and for all activity that occurs under your Account.
2.4 You must notify View Beyond LLC immediately of any unauthorized use of your Account.
2.5 View Beyond LLC reserves the right to refuse registration or cancel Accounts at its discretion.
3. Subscription Plans and Fees
3.1 VPMHR is offered under the following subscription plans priced at monthly and annual rates:
- Project Manager: $27 per month; $297 per annum
- Program Manager: $57 per month; $627 per annum
- Project & Program Consultant: $97 per month; $1067 per annum
3.2 All subscriptions include a one-month free trial beginning on the date of registration.
3.3 Prices are quoted in US dollars and are subject to change. View Beyond LLC will provide at least 30 days notice of any price changes, which will take effect at your next renewal date.
3.4 View Beyond LLC may introduce additional subscription tiers with different features and pricing. Changes to your current tier’s included features will be communicated with at least 30 days notice.
4. Billing and Payment
4.1 Payment is processed securely via Stripe. View Beyond LLC does not store your payment card details.
4.2 You must provide valid payment information at registration. Your payment method will not be charged until your free trial ends.
4.3 You will receive a reminder email seven days before your first payment and before each subsequent renewal.
4.4 For monthly subscriptions, your payment method will be charged on the same calendar day each month as your original subscription date, or the last day of the month if that day does not exist.
4.5 For annual subscriptions, your payment method will be charged on the anniversary of your subscription date.
4.6 If a payment fails, View Beyond LLC will notify you and attempt to process the payment again. If payment cannot be collected within 14 days, your Account will be treated as cancelled.
5. Free Trial
5.1 Your free trial provides full access to all Service features for one calendar month from the date of registration.
5.2 At the end of your free trial, your subscription will automatically convert to a paid subscription unless you cancel before the trial ends.
5.3 If you cancel during your free trial, you will not be charged, and your Account will enter the grace period described in Section 8.
6. Subscription Changes
6.1 You may change between monthly and annual billing, or between subscription tiers when available, at any time via your account settings.
6.2 When changing subscriptions, any remaining balance from your current subscription will be applied pro-rata to your new subscription.
6.3 Changes take effect immediately. Your next billing date will be calculated based on the remaining credit applied to your new subscription.
7. Cancellation
7.1 You may cancel your subscription at any time via your account settings.
7.2 Upon cancellation, your access to the Service continues until the end of your current billing period.
7.3 No refunds are provided for partial billing periods, except where required by applicable law.
7.4 After your current billing period ends, your Account enters a 14-day grace period as described in Section 8.
8. Grace Period and Data Deletion
8.1 When your subscription ends, whether by cancellation, non-payment, or other termination, your Account enters a 14-day grace period.
8.2 During the grace period:
- You may log in and view your User Data
- You may print projects, dashboards, snapshots, and other reports
- You may export your User Data as CSV files
- You may not add new data or modify existing data
8.3 If you renew your subscription during the grace period, full access to your Account and User Data will be restored.
8.4 At the end of the grace period, your Account and all User Data will be permanently deleted. This action is irreversible.
8.5 View Beyond LLC is not responsible for any loss of data resulting from Account deletion after the grace period.
9. User Data
9.1 You retain ownership of all User Data you enter into the Service.
9.2 You grant View Beyond LLC a limited license to store, process, and display your User Data solely for the purpose of providing the Service to you.
9.3 View Beyond LLC will not access, use, or share your User Data except as necessary to provide the Service, respond to support requests, or comply with legal obligations.
9.4 View Beyond LLC does not sell User Data to third parties.
9.5 You are responsible for maintaining your own backups of User Data. View Beyond LLC provides export functionality but does not guarantee data recovery in the event of loss.
10. Data Security
10.1 User Data is transmitted over encrypted connections (HTTPS).
10.2 User Data is stored in databases isolated by organization.
10.3 View Beyond LLC implements reasonable security measures to protect User Data but does not guarantee that unauthorized access will never occur.
10.4 In the event of a data breach affecting your User Data, View Beyond LLC will notify you within 72 hours of becoming aware of the breach.
11. Service Availability
11.1 View Beyond LLC aims to provide reliable access to the Service but does not guarantee uninterrupted availability.
11.2 The Service may be temporarily unavailable due to maintenance, updates, or circumstances beyond View Beyond LLC’s control.
11.3 View Beyond LLC will endeavor to provide advance notice of scheduled maintenance when possible.
12. Modifications to the Service
12.1 View Beyond LLC may modify, update, or discontinue features of the Service at any time.
12.2 For changes that materially reduce the functionality of your subscription tier, View Beyond LLC will provide at least 30 days notice.
12.3 Your continued use of the Service after changes take effect constitutes acceptance of those changes.
13. Acceptable Use
13.1 You agree to use the Service only for lawful purposes and in accordance with these Subscription Terms.
13.2 You agree not to:
- Use the Service to store or transmit unlawful, harmful, or objectionable content
- Attempt to gain unauthorized access to the Service or its related systems
- Interfere with or disrupt the integrity or performance of the Service
- Use automated means to access the Service without View Beyond LLC’s written consent
- Resell, sublicense, or provide access to the Service to third parties without authorization
13.3 View Beyond LLC reserves the right to suspend or terminate your Account for violation of these acceptable use provisions.
14. Intellectual Property
14.1 The Service, including its design, functionality, and underlying technology, is the property of View Beyond LLC and is protected by intellectual property laws.
14.2 Your subscription grants you a limited, non-exclusive, non-transferable license to access and use the Service for your internal business purposes.
14.3 You may not copy, modify, distribute, or create derivative works based on the Service.
15. Disclaimer of Warranties
15.1 The Service is provided “as is” and “as available” without warranties of any kind, either express or implied.
15.2 View Beyond LLC does not warrant that the Service will meet your specific requirements, be uninterrupted, timely, secure, or error-free.
15.3 View Beyond LLC does not warrant the accuracy or reliability of any results obtained through the Service.
16. Limitation of Liability
16.1 To the maximum extent permitted by law, View Beyond LLC shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising from your use of the Service.
16.2 View Beyond LLC’s total liability for any claims arising from these Subscription Terms or your use of the Service shall not exceed the amount you paid to View Beyond LLC in the 12 months preceding the claim.
16.3 These limitations apply regardless of the theory of liability and even if View Beyond LLC has been advised of the possibility of such damages.
17. Indemnification
17.1 You agree to indemnify and hold harmless View Beyond LLC and its officers, employees, and agents from any claims, damages, losses, or expenses arising from:
- Your use of the Service
- Your violation of these Subscription Terms
- Your violation of any rights of a third party
18. Termination by View Beyond LLC
18.1 View Beyond LLC may suspend or terminate your Account immediately if:
- You breach these Subscription Terms
- You fail to pay subscription fees when due
- View Beyond LLC is required to do so by law
- View Beyond LLC discontinues the Service
18.2 If View Beyond LLC terminates your Account for reasons other than your breach, you will receive a pro-rata refund of any prepaid subscription fees.
18.3 If View Beyond LLC discontinues the Service entirely, you will receive at least 90 days notice and a pro-rata refund of any prepaid subscription fees.
19. Dispute Resolution
19.1 Any disputes arising from these Subscription Terms or your use of the Service shall be resolved through good faith negotiation.
19.2 If negotiation fails, disputes shall be subject to the exclusive jurisdiction of the courts of Connecticut, USA.
19.3 These Subscription Terms shall be governed by the laws of the State of Connecticut.
20. General Provisions
20.1 These Subscription Terms, together with the Website Terms and Conditions and any other policies referenced herein, constitute the entire agreement between you and View Beyond LLC regarding your use of the Service.
20.2 View Beyond LLC’s failure to enforce any provision of these Subscription Terms shall not constitute a waiver of that provision.
20.3 If any provision of these Subscription Terms is found unenforceable, the remaining provisions shall continue in effect.
20.4 View Beyond LLC may update these Subscription Terms from time to time. Material changes will be communicated via email or notice within the Service at least 30 days before taking effect.
20.5 You may not assign or transfer your rights under these Subscription Terms without View Beyond LLC’s written consent.
